The SIGNATORY and/or its AFFILIATES hereby declare that they are prepared to grant irrevocable licences under the IPRs on terms and conditions which are in accordance with Clause 6.1 of the ETSI IPR Policy, in respect of the STANDARD, to the extent that the IPRs remain ESSENTIAL.
In December 2009, IPCom GmbH & Co. KG has made a declaration to the European Commission clarifying its policy of licensing its patents on fair, reasonable and non-discriminatory terms and conditions. As part of the declaration to the European Commission, IPCom Gmbh & Co KG has declared that it is fully prepared and ready to take over vis-à-vis third parties any applicable licensing undertaking of Robert Bosch GmbH vis-à-vis ETSI to grant irrevocable licenses to patents of the Bosch Mobile Telecommunication Patent Portfolio, which IPCom Gmbh & Co KG purchased in 2007, on a fair, reasonable and non-discriminatory basis in accordance with the terms and conditions set forth under clause 6.1 of the ETSI IPR Policy, as if IPCom GmbH & Co. KG had been the original participant in the setting of GSM and UMTS Standards and was subject to a commitment vis-à-vis ETSI to do so. IPCom GmbH & Co. KG stated further that it acknowledges the terms of clause 6.1 of the ETSI IPR Policy and the requirements hereunder and that, for the avoidance of doubt, its declaration does not intend to make IPCom GmbH & Co. KG liable for omissions, mistakes, misrepresentation or any other acts of Robert Bosch GmbH (if any) contrary to the ETSI rules in the standard setting process or as a member of ETSI.
